Referral Alliance Agreement

THE PARTIES

This PROFESSIONAL SERVICE REFERRAL AGREEMENT (“Agreement”) is executed by and between of registered at (“Referrer”), and Steve Rabinette of Total Payroll Management, registered at 930 SW 23rd Court Cape Coral, FL 33991 (“Company”).

The Company and the Referrer will together be referred to as the “Parties.”

WHEREAS, the Company is a Payroll and Worker’s Comp Service Provider that provides high-quality, low-cost payroll and related services to companies of all sizes.

WHEREAS, the Referrer is a company with their own customer base and relationships that do not compete for the clients needs.

SERVICES

As a promotion to the Company’s business, the Referrer agrees to refer its clients to the other Party should they require additional services present from the other Party’s facilities.

AMOUNT

The Parties agree that the Referrer will receive a three percent (15%) commission (“Commission”) from the total net profit each month for every client successfully referred to the Company.
The Commission, in addition to a detailed invoice, will be conveyed to the Referrer at the end of each month in direct deposit or check to its registered address.

TERM AND TERMINATION

The terms and conditions of this Agreement will be binding and enforceable from the Commencement Date until terminated or amended by a written agreement by the Parties.
Each of the Parties may initiate termination at any time for any justifiable reason, given that the terminating Party submits a written notice of termination within thirty (30) days from the termination date.

WARRANTIES

The Parties warrant that their businesses are legally established and subsisting under the laws of the State of Illinois and thus, have the consequential power to contract this Agreement.
The Parties further warrant that all practitioners and personnel employed within its establishment are academically, professionally, and legally qualified to perform the services as assigned and offered.

GENERAL PROVISIONS

All occurring disputes arising during the performance of this Agreement will be settled amicably by the Parties. Should they fail to settle such disputes, the laws of the State of [Illinois] will govern the next processes.
This Agreement, once signed, constitutes the complete agreement reached between the Parties with respect to its subject matter.

ACCEPTANCE

IN WITNESS WHEREOF, each of the Parties has executed this Professional Services Referral Agreement as of the day and year set forth above.
